1. Service Description

DataWeaveAI provides AI-powered contract analysis and document processing services. Our service includes:

ContractIntelligenceEngine™ - Real-time contract analysis using 500+ proprietary legal rules
Auto-Redline - AI-powered clause improvement suggestions
Counter-Proposal Generator - Automated negotiation language
Clause Search - Repository-wide document search
Portfolio Health Dashboard - Risk metrics across your contracts
Custom AI Search - Natural language contract queries
PII Detection - Personally identifiable information alerts

2. Acceptance of Terms

By accessing or using DataWeaveAI, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use our service.

3. Account Registration

To use certain features, you must provide a valid email address. You are responsible for:

Maintaining the confidentiality of your API key
All activities that occur under your account
Notifying us immediately of any unauthorized use

4. Acceptable Use

You agree NOT to:

Use the service for any illegal purpose
Upload malicious content or malware
Attempt to bypass rate limits or security measures
Resell or redistribute the service without permission
Use the service to process data you don't have rights to
Reverse engineer, decompile, or disassemble any part of the Service
Copy, scrape, or extract our rules, algorithms, or analysis methodologies
Use automated tools to access or analyze the Service structure
Build competing products using insights gained from our Service
Share your API credentials or allow third parties to access your account

5. Data Processing

            Important: Documents you submit are processed using third-party AI services. While we do not permanently store your documents, they are transmitted to our AI providers for analysis. Do not submit documents containing information you are legally prohibited from sharing with third parties.
        

You retain all ownership rights to documents you submit. By using our service, you grant us a limited license to process your documents for the purpose of providing our service.

6. Service Limitations

DataWeaveAI is provided "as is." We do not guarantee:

100% accuracy of analysis results
Uninterrupted or error-free service
That the service will meet all your requirements

Our service does not constitute legal advice. Always consult a qualified attorney for legal matters.

7. Pricing and Payment

Sample contract analyses are free. All other analyses require purchasing credits ($5/single, $19/10-pack) or a subscription ($39/mo Starter, $89/mo Professional). Paid plans are billed monthly. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice.

8. Intellectual Property & Proprietary Technology

DataWeaveAI and its original content, features, and functionality are owned by DataWeaveAI, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

            Proprietary Technology: The DataWeaveAI Contract Intelligence Engine, including but not limited to:
            Our proprietary rules engine with 500+ legal analysis rules
Rule ID system (LIA-001, SAS-003, EUR-007, etc.)
Clause pattern matching algorithms
Severity scoring and benchmarking systems
Industry-specific compliance modules (SaaS, Real Estate, HIPAA, SOX)
Jurisdiction-specific rule sets (California, Delaware, NY, EU GDPR, UK)

            constitute proprietary trade secrets. Unauthorized reproduction, reverse engineering, or creation of derivative works is strictly prohibited and may result in civil and criminal penalties.
        

No License Granted: Nothing in these Terms grants you any right, title, or interest in our proprietary technology, algorithms, or trade secrets. Access to the Service does not transfer any intellectual property rights to you.

Competitive Use Prohibited: You may not use the Service, or any information obtained through the Service, to develop, improve, or market any product or service that competes with DataWeaveAI.

9. Limitation of Liability

To the maximum extent permitted by law, DataWeaveAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless DataWeaveAI and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these terms.

11. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the service ceases immediately.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the service. Continued use after changes constitutes acceptance.

13. Governing Law

These terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.
